Group Legal: guidance across all areas and geographies to ensure: every transaction is appropriately negotiated, documented and implemented, losses arising from litigation are minimised, and legal issues carrying negative reputational consequences are avoided.

Job Purpose

To provide timely legal guidance and advise and to support the Head of Legal in the management of legal risk for the Bank. To render comprehensive legal advise on all agreements with emphasis on drafting reviewing, negotiating and approving for execution legal documents in transactional matters including commercial contracts, operating agreements, lease management contracts and all manner of transactional documentation; Litigation management and oversight. To identify and understand business needs and strategies with a key focus on assisting / supporting the Bank in terms of legal risk management.

Key Responsibilities/Accountabilities

  • To assist business partners with the drafting of new/amended credit agreements for the domestic market (“credit agreements”).
  • To provide guidance to business partners on issues relating to credit agreements, including amendments that are required in the light of case law and/or new/amended legislation.
  • To always consider credit, legal and reputational risk in order to minimise the risk of loss to the Bank.
  • Maintain a database of Standard Credit documentation and update same in light of any legislative policy or product changes for sign off by Group Legal (CIB Credit Legal).
  • Preparation of legal agreements and collateral (research, negotiation and drafting thereof) including but not limited to confidentiality, risk sharing, loan (both short terms and long term), sale of book debts and guarantee agreements, memoranda of understanding, and other credit relation legal documentation.
  • Regularisation of any non-standard Credit documentation to ensure adherence with Credit sanction and policy.
  • Make changes and ensure that all alterations to standard collateral documents / agreements (such as facilities letters, cessions, pledges, suretyships have been authorised in line with GRG procedures.
  • Ensure compliance with all relevant laws, regulations and bank policies and procedures.
  • Legal risk management within the Bank generally and specifically within CIB/PBB Credit and all units within Credit.
  • Where required provide guidance to Credit Evaluation team in respect of conditions of sanction required for mitigation of credit and risk.
  • Provision of legal advice and opinions on Credit related matters, e.g. Credit impact of legislation, policy, collections etc.
  • Sign-off of new products or product amendments from a Credit legal perspective in line with procedures.
  • Provision of accurate, expert and specialist legal advice to all divisions and business units within Credit.
  • Draft non standard agreements and other Credit/ transactional legal documentation.
  • Serve the needs of clients as business partners by providing value added legal services such as counselling clients on regulatory and general business considerations, and advising management regarding legal risks and exposures.
  • Ensure that Stanbic’s business is conducted in accordance with applicable law.
  • Ensure that Stanbic is not adversely affected by its contractual arrangements.
  • Participate in knowledge sharing.
  • Identification of legal problems, interpreting and evaluating legal information.
  • Assist Group Legal in ensuring that the Group’s and Stanbic’s intellectual property is adequately protected.
  • Complaints management.
  • Assist with company secretarial function.
  • Legal risk reporting as necessary.
  • Litigation management.

Preferred Qualification and Experience

Qualifications and experience required is as follows:

Education

  • Appropriate legal qualification (BA / BCom LLB / BProc LLB).
  • Admitted as an Attorney.

Experience

  • Understanding of the business principles and processes in CIB, including the legal environment in which CIB operates.
  • Computer literate
  • 3-4 years’ post qualification experience in a similar environment.

 

Knowledge/Technical Skills/Expertise

Technical skills required:

  • Ensure that Stanbic’s business is conducted in accordance with applicable law.
  • Ensure that Stanbic is not adversely affected by its contractual arrangements.
