Organization Name: DEBSWANA. Job Title: CHIEF LEGAL & GOVERNANCE OFFICER. Reporting to the Chief Executive Officer, the Chief Legal and Governance Officer will lead the development and execution of an integrated Legal, Governance and Corporate Services strategy aligned to Debswana’s Strategic Business Plan. The role provides expert legal and governance counsel to the Board and Executive, ensures compliance with statutory and governance frameworks, and champions ethical leadership, accountability, and institutional integrity across the organisation.
Key Responsibilities
- Providing strategic legal and governance leadership aligned with Debswana’s business objectives.
- Advising the Board, its Committees, and Executive on complex legal, regulatory and governance matters.
- Overseeing corporate governance frameworks, policies and committee structures to ensure compliance and best practice.
- Identifying and managing legal risks, including oversight of litigation, contracts and commercial transactions.
- Protecting and managing the organisation’s intellectual property portfolio, including, trademarks, patents, copyrights and proprietary assets.
- Providing expert legal advisory and representation on complex commercial transactions, regulatory matters and disputes.
- Leading Board and Executive Committee secretarial functions in line with statutory requirements.
- Managing departmental budgets, talent development and performance management.
- Ensuring compliance with safety, health, and environmental requirements within the function.
- Building strong relationships with internal and external stakeholders to support business outcomes.
Requirements
- A Bachelor’s Degree in Commerce (BCom) / Accounting / Risk Management / Bachelor of Laws (LLB) / Chartered Secretary (ACIS, FCIS) or equivalent Business degree.
- A Management Development Program.
- At least 12 years post qualification experience with at least 4 years at Senior Management level.
- Legal background at a senior level is essential.
- Solid knowledge of governance and proven expertise at a senior executive level is essential.
- Strong leadership capability with experience in managing professional teams and resources.
- Proven track record in advising Boards and Executives on governance, compliance and strategic legal matters.
- Strong legal judgement and governance expertise.
- Strategic thinking and business acumen.
