PURPOSE
The Company Secretary provides company secretarial services and administration to the FNB Group of Companies, oversight of compliance with corporate governance regulations, regulatory requirements and does investor relations management to ensure that the Group creates maximum value to the investor.
EXPERIENCE AND QUALIFICATIONS
- Minimum qualification : Degree in Law.
- Minimum years of relevant experience : 6 to 8 years’ experience as company secretary in a listed environment.
RESPONSIBILITIES
- To manage costs to ensure alignment with the approved budget.
- To obtain provide excellent service to the board and key stakeholders to attain customer satisfaction.
- To engage investors and obtain (and share internally) feedback on their views regarding the performance of the Bank as a corporate citizen.
- To engage internal business partners in sharing feedback on the performance of the company secretariat and to agree solutions to challenges for continuous improvement towards the target BPR.
- Plan, organize and implement company secretarial and administrative activities in line with the mandate of the position.
- Develop and implement investor relation’s strategy and framework to guide the group toward effective investor engagement and retention.
- To share insights, and investor market intelligence information to improve shareholder value.
- Build and maintain relationships with the investors to achieve and retain investor confidence.
- To comply with the internal policies and processes and ensure management compliance with approved policies.
- Ensure compliance by the Group to governance and regulatory requirements and ensure corrective action on audit findings at agreed turnaround times.
- To ensure preparation and delivery of quality reports and on agreed turnaround times.
- To ensure timeous preparation and filing of statutory returns for the Group.
- Provide legal, ethical and governance best practice advice to the Board in-line with the mandate of the position.
- Monitor, review and update business processes and governance practices to ensure alignment with latest standards and regulatory requirements.
- Maintain and ensure safe custody of the company records.
- Monitor company registration and licences and ensure that they are up to date and appropriately filed.
- Identify learning needs for Board and business partners and arrange training as appropriate.
- Create awareness on company secretary role and regulatory requirements.
- Continuously assess own performance, seek timely and clear feedback and request training where appropriate.
- People management: Manage people by executing line manager responsibilities and create an environment that encourages employee growth and performance excellence.
