Key Responsibilities

  • Corporate Governance: Provide strategic governance advice to the Board and Executive Management while ensuring compliance with governance best practice.
  • Board Secretariat: Manage Board and Committee meetings, Board packs, minutes, resolutions and statutory records.
  • Legal & Regulatory Advisory: Provide legal, commercial and regulatory advice to support strategic and operational decision-making.
  • Compliance & Risk Management: Oversee legal compliance, regulatory obligations and legal risk across the business.
  • Corporate Legal Services: Oversee contracts, litigation, intellectual property and external legal service providers.
  • Stakeholder Management: Build and maintain effective relationships with regulators, shareholders, investors and external stakeholders.
  • Corporate Records: Ensure the integrity and maintenance of statutory records and corporate governance documentation.
  • Leadership: Lead, develop and manage the Company Secretariat and Legal team to build organisational capability, drive high performance and deliver effective governance and legal services.

Requirements

  • Bachelor of Laws (LLB) or equivalent legal qualification.
  • Admission to practice law and membership of a recognised professional legal body.
  • A Master’s degree or relevant postgraduate qualification will be an added advantage.
  • Chartered Governance qualification (CGISA/CGI) or equivalent professional company secretarial qualification will be an added advantage.
  • At least 10 years’ post-qualification experience in commercial law, corporate governance and company secretarial practice, with significant exposure advising Boards of Directors.
  • A minimum of 3 years’ experience in a senior management role, preferably within a listed company or large commercial organisation.
