Job Description
To provide board support and secretarial services to allocated portfolios of subsidiary companies’ boards, and board and management committees. To provide support to committee members on governance matters, ensuring effective and efficient functioning of all boards and committees by adopting an appropriate standard of governance. To assist with ensuring compliance with the applicable statutory, regulatory and corporate governance requirements for boards and management committees.
Qualifications
Minimum Qualifications: First Degree

- Promote, ensure and uphold good relations with all stakeholders.
- Lead the process with drafting of resolutions and liaison with board members to explain purpose of resolution
- Provide full board meeting support to the board and other agreed subsidiary board and committee meetings to achieve governance best practice.
- Review governance gaps and provide an analysis thereto to assist the Governance team
- Design and execute the Board and Committee annual forward planning calendar in line with our internal governance processes.
- Manage director induction programme for subsidiary companies
- Collate and review board packs and share via the board reporting system in a timely and accurate basis, to ensure that board and committee meetings are run effectively.
- Research into governance best practices and standards to provide input for secretarial advisory services.
- Draft and review routine minutes and resolutions for boards and committees
