Engineers Registration Board (ERB) wishes to appoint a Board Secretary for the purposes of providing the governing body with professional corporate governance services to ensure that it has support to coordinate its functioning and that of its committees.
The successful company shall be appointed for a period of 2 years and a contract extendable by up to 12 months shall be entered Into between the parties.
To be appointed, the company shall have the competence, gravitas and objectivity to provide Independent guidance and support at the highest level of decision-making In ERB.

The company secretary shall report to the governing body via Its Chairperson on all statutory duties and functions In connection with the governing body. With respect to other duties and administrative matters, they will report to the Registrar.
The performance and independence of the board secretary will be evaluated by the governing body annually. The services to be provided by the board secretary are as numerated:
- Give advice and guidance to the Directors and Management on corporate governance issues.
- Provide guidance and support to the sub-committees as necessary.
- Perform any other duties required of a Board Secretary under the Companies Act of Botswana.
- Preparation of Agendas for all Governing body meetings, both Regular and Special, in liaison with the Registrar and Governing body Chairperson. The Board Secretary shall develop meeting packs in liaison with Management and attend all such meetings and shal take minutes of the said meetings and circulate the same to relevant parties.
- Ensuring compliance with the law in regard to books and registers that the organisation is expected to maintain and ensuring that the same are up to date.
- Formulation and revision of the Governing body Charter and related Governance Instruments.
- Contributing to discussions at Governing body meetings with a view of ensuring that the Governing body is properly advised on any governance and legal issues arising at the meetings or subsequent meetings.
- To work with the Registrar in development of systems and policies to ensure that the Engineers Registration Board achieves its objectives and delivers on its mandate.
- Advising the Governing body on any necessary or relevant amendments to the founding legislation and regulations that are necessary for the Board to discharge its mandate.
- Advising the Governing body on development of Governing body procedures and evaluation of performance of the Governing body and its Members.
- Liaison with external legal services providers, regulators and other disciplines or service providers in consulation with the Registrar.
- To attend any workshop, seminar or consultative event as directed by the Governing body and the Registrar upon reasonable notice.
- Familiarize with the operations and systems of the secretariat.
